# Terms of Service

## 1. Agreement to these terms

These Terms of Service (the "Terms") govern access to and use of the Prioboard application, websites and related services (the "Service") provided by Prioboard ("Prioboard", "we", "us"). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company or other legal entity (the "Customer"), you represent that you have authority to bind that entity, and "you" refers to both you and the Customer. If you do not agree to these Terms, you must not use the Service.

## 2. The Service

Prioboard is a prioritisation tool that connects to a Customer's Linear workspace. It lets teams pull initiatives, projects and issues into boards, score them asynchronously using prioritisation frameworks, reveal results with divergence analysis, and publish outcomes back to Linear. Features may be added, changed or removed over time as described in Section 13.

## 3. Eligibility and accounts

The Service is a business tool intended for professional use. You must be at least 16 years old and able to form a binding contract to use it. You agree to provide accurate registration information, keep it up to date, and keep your credentials secure. You are responsible for all activity under your account and must notify us promptly at support@prioboard.app if you suspect unauthorised access.

## 4. Organisations, roles and administrators

The Service is organised around organisations. An organisation's administrators control membership, roles and integrations, including connecting and disconnecting the organisation's Linear workspace. Actions taken by an administrator on behalf of an organisation bind the Customer. The Customer is responsible for its users' compliance with these Terms and for ensuring that it is entitled to grant Prioboard access to any connected Linear workspace.

## 5. Customer Data

"Customer Data" means data submitted to or synced into the Service by or on behalf of the Customer, including data retrieved from the Customer's Linear workspace, board configurations, votes, scores and comments. As between the parties, the Customer owns all Customer Data. The Customer grants Prioboard a worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely as necessary to provide and support the Service, comply with law, and as otherwise instructed by the Customer.

The Customer is responsible for the accuracy and lawfulness of Customer Data and warrants that it has all rights and consents necessary to provide it to Prioboard for processing as described in these Terms and our [Privacy Policy](/privacy).

## 6. Third-party services and the Linear integration

The Service interoperates with third-party services, most notably Linear. When an administrator connects a Linear workspace, Prioboard accesses that workspace via OAuth within the scopes granted, syncs selected entities and, when a facilitator chooses to publish, writes priorities, comments or labels back to Linear. Your use of Linear and any other third-party service is governed by that provider's own terms, and you may revoke Prioboard's access at any time through Linear or by disconnecting the integration. We are not responsible for third-party services, their availability, or changes to their APIs that affect the Service.

## 7. AI features

The Service includes optional AI-generated content, such as briefs summarising the context of an item before voting. To provide these features, relevant Customer Data is processed by third-party model providers (currently Anthropic) under terms that prohibit the use of that data to train their models. AI output is generated automatically, may be inaccurate or incomplete, and is provided for convenience only. You are responsible for verifying AI output before relying on it; prioritisation decisions remain yours.

## 8. Acceptable use

You must not, and must not permit anyone to:

- use the Service in violation of applicable law or to infringe anyone's rights
- upload or transmit malicious code, or content that is unlawful, defamatory or infringing
- attempt to gain unauthorised access to the Service, other customers' data, or related systems
- probe, scan, overload or disrupt the Service, or circumvent usage limits or security controls
- reverse engineer, decompile or copy the Service except to the extent permitted by law
- resell, sublicense or provide the Service to third parties without our prior written consent
- use automated means to scrape the Service other than via interfaces we provide

We may investigate suspected violations and may suspend or terminate access as described in Section 14.

## 9. Fees

The Service is currently offered without charge during its early access period. We may introduce paid plans in the future; if we do, pricing and payment terms will be communicated in advance, and continued use of paid features will require acceptance of those terms. Any fees will be exclusive of applicable taxes unless stated otherwise.

## 10. Intellectual property

Prioboard and its licensors own all rights, title and interest in and to the Service, including all software, design and branding. No rights are granted to you other than as expressly set out in these Terms. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.

## 11. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that would reasonably be understood to be confidential ("Confidential Information"). Each party will protect the other's Confidential Information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors who need it and are bound by equivalent obligations, or where required by law with reasonable advance notice where permitted.

## 12. Data protection

Our processing of personal data is described in our [Privacy Policy](/privacy). Where Prioboard processes personal data contained in Customer Data on the Customer's behalf, Prioboard acts as a processor and the Customer acts as a controller. We process such data only on the Customer's documented instructions, apply appropriate technical and organisational security measures, and engage the subprocessors listed in the Privacy Policy. A data processing addendum incorporating the applicable standard contractual clauses is available on request at privacy@prioboard.app.

## 13. Availability, support and changes to the Service

We will use commercially reasonable efforts to keep the Service available, but during the early access period the Service is provided without availability commitments or service-level credits. We may modify the Service, and may discontinue features, provided that we will give reasonable advance notice of changes that materially reduce the core functionality described in Section 2. Support is provided on a reasonable-efforts basis via support@prioboard.app.

## 14. Suspension and termination

The Customer may stop using the Service and delete its organisation at any time. We may suspend or terminate access immediately if you materially breach these Terms, if your use poses a security or legal risk to the Service or others, or if we discontinue the Service, in which case we will give as much notice as reasonably practicable.

Upon termination, your right to use the Service ends. For 30 days following termination, the Customer may request an export of its Customer Data, after which we will delete Customer Data from our systems within a reasonable period, except where retention is required by law. Sections 5 (licence to Customer Data terminates), 10, 11, 12 and 15 to 21 survive termination.

## 15. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free or secure, or that data synced from third parties will be accurate or current. The Service supports, but does not replace, your own judgement; outputs, scores and rankings do not constitute professional advice.

## 16. Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Subject to the above, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, even if advised of the possibility. Each party's total aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the amounts paid by the Customer to Prioboard in the 12 months preceding the event giving rise to liability and (b) £100.

## 17. Indemnity

The Customer will defend and indemnify Prioboard against third-party claims arising from Customer Data, the Customer's use of the Service in breach of these Terms, or the Customer connecting a Linear workspace it was not entitled to connect, and will pay damages finally awarded or agreed in settlement, provided we give prompt notice and reasonable cooperation.

## 18. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give at least 30 days' notice by email or in-app notice before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the change takes effect.

## 19. General

These Terms, together with the Privacy Policy and any data processing addendum, are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject. Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. If any provision is found unenforceable, the remainder stays in effect. A failure to enforce a provision is not a waiver. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

## 20. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, except that either party may seek injunctive relief in any court of competent jurisdiction.
